1. Acceptance of Terms

By accessing esrsolutions.net or engaging ESR Solutions, Inc. ("ESR", "we", "us") for services, you ("you", "Client") agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree, do not use the site or our services.

2. Use License

Permission is granted to temporarily view the materials on this website for personal, non-commercial use only. This license does not transfer any title or intellectual property rights. You may not copy, reproduce, redistribute, or use any content for commercial purposes without our prior written consent.

3. Services & Engagements

Any consulting, automation, design, or development services are governed by a separate written Statement of Work (SOW) or Master Services Agreement (MSA) executed between ESR and the Client. In the event of a conflict, the SOW/MSA controls. Estimates and quotes are valid for 30 days unless otherwise stated.

4. Intellectual Property

Upon full payment, Client receives ownership of custom-built deliverables (code, content, designs) created specifically for the Client. ESR retains rights to underlying tools, frameworks, templates, and methodologies used in delivery, and may reuse them on other engagements.

5. Disclaimer

Materials on this website and services delivered are provided on an "as is" basis. ESR makes no warranties, expressed or implied, and disclaims all other warranties including implied warranties of merchantability or fitness for a particular purpose. Performance metrics referenced in case studies reflect prior engagements and do not guarantee future results.

6. Limitation of Liability

To the maximum extent permitted by law, ESR's total aggregate liability for any claim arising out of or related to the services or this site shall not exceed the fees paid by Client to ESR in the six (6) months preceding the claim. ESR is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost data.

7. Third-Party Services

ESR may integrate third-party platforms (e.g., HubSpot, Zapier, Google, OpenAI, Anthropic, Firebase). ESR is not responsible for the availability, terms, or pricing of third-party services. Client is responsible for maintaining its own accounts and licenses.

8. Governing Law

These terms are governed by the laws of the State of California, USA. Any dispute shall be resolved in the state or federal courts located in San Diego County, California, and you consent to that exclusive jurisdiction.

9. Changes

We may revise these terms at any time. The current version is always posted on this page. Continued use of the site constitutes acceptance of the revised terms.
